Terms of Service

These Terms of Service (“Terms”) govern your use of Spark, a sales proposal and contract management platform operated by MicroGRID Energy LLC (“MicroGRID,” “we,” “us”). By signing in or using Spark, you agree to these Terms.
Who may use Spark
Spark is provided to authorized sales representatives of MicroGRID and its affiliated solar installation partners, and to homeowners who receive and sign proposals through it. You must be at least 18 years old and authorized by MicroGRID or an authorized dealer to use the rep-facing portions of Spark.
Accounts
- Reps authenticate via Google Sign-In using the email address their manager registers with Spark. Do not share credentials.
- You are responsible for activity that occurs under your account, including proposals created and contracts sent on your behalf.
- Notify your manager immediately if you suspect unauthorized access.
Acceptable use
You agree not to:
- Misrepresent pricing, equipment, incentives, or contract terms to homeowners.
- Forge, impersonate, or obtain a signature from someone who has not actually consented.
- Access proposals, leads, or data belonging to other reps or organizations except where your role explicitly permits.
- Scrape, reverse-engineer, or probe Spark for vulnerabilities outside a coordinated disclosure channel.
- Use Spark to send commercial messages to homeowners without a lawful basis (for example, prior consent or a legitimate interest within applicable TCPA / CAN-SPAM rules).
- Upload or transmit content that is unlawful, infringing, malicious, or contains personal data beyond what is necessary to fulfill a solar proposal.
Violations may result in suspension or termination of access, and MicroGRID may report misconduct to the affected dealer, employer, or authorities where warranted.
Electronic signatures
Spark facilitates electronic contracts under the federal E-SIGN Act and state UETA/ESIGN equivalents. By typing or drawing a signature in Spark and clicking to submit, a homeowner or authorized party expresses intent to be bound by the contract, in the same manner as a handwritten signature. Spark records the signer’s IP address, timestamp, and a tamper-evident audit trail to evidence each execution.
Customer data
Reps receive access to homeowner contact details and property information strictly for the purpose of preparing and managing solar proposals. This information is the property of MicroGRID and the affiliated dealer, not the rep personally, and must not be exported, resold, or used for purposes unrelated to the pending or signed contract.
Intellectual property
The Spark application, its design, and the underlying software are owned by MicroGRID and its licensors. Nothing in these Terms transfers any ownership to you. Feedback you submit may be used by MicroGRID without obligation.
Third-party services
Spark integrates with third-party services (for example, Google Maps, address lookup, document signing, email delivery). Your use of those features is also subject to the third party’s terms. We are not responsible for third-party outages or content outside our control.
Disclaimers
Spark is provided on an “as is” and “as available” basis. MicroGRID disclaims all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.
Limitation of liability
To the maximum extent permitted by applicable law, MicroGRID will not be liable for indirect, incidental, consequential, or punitive damages arising out of or related to your use of Spark. Our total liability for any claim arising out of these Terms will not exceed the greater of (a) the amounts you paid MicroGRID for use of Spark in the twelve months preceding the claim, or (b) one hundred U.S. dollars (USD 100).
Termination
MicroGRID may suspend or terminate your access to Spark at any time, with or without notice, for conduct that it determines violates these Terms, harms other users, or exposes MicroGRID or its partners to legal or reputational risk. You may stop using Spark at any time; signed contracts remain in effect per their own terms.
Governing law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Disputes will be brought in the state or federal courts located in Harris County, Texas, and you consent to personal jurisdiction there.
Changes
We may revise these Terms from time to time. Material changes will be reflected in the “Last updated” date above and, where appropriate, surfaced in-product. Continued use of Spark after a change constitutes acceptance of the revised Terms.
